WAMP Affiliate Program Terms of Service

 2) COMMISSIONS 

An Affiliate-referred customer generates an Affiliate commission upon payment for WAMP product(s). An Affiliate-referred customer account must remain paid and in good standing for Affiliate to receive a commission. Commissions will not be paid on customers who do not successfully pay invoices. Commission of Affiliate-referred customer will cease upon cancellation of customer account, both voluntary or for lack of payment.

Affiliate will receive recurring commission per referred customer. Commission amounts are designated within Affiliate Program Application and shall not vary without written consent from SellerAmp.

Affiliate will not receive commissions for any other SellerAmp LLC or SellerAmp Limited product.

Affiliates cannot refer themselves and will not receive commission on their own subscription.

Commissions will be paid once every month. SellerAmp reserve the right to require a minimum amount of accrued commissions before payment is made.

SellerAmp reserve the right to withhold Affiliate commissions at any time, at the sole discretion of SellerAmp.

All sums payable under this agreement are inclusive of any tax which the Affiliate may be due to pay to its local tax collection authority. Affiliate undertakes that it shall declare and pay all such sums in accordance with applicable local law and shall have sole responsibility for any failure by it to do so. Accordingly, the Affiliate undertakes that it shall not invoice or seek any form of VAT payment or contribution from SellerAmp in relation to this Agreement.

 3) TERMINATION 

Your affiliate application and status in the Program may be suspended or terminated for any of the following reasons:

1. Inappropriate advertisements including false claims and misleading hyperlinks
2. Spamming: mass email, mass newsgroup posting and promotion
3. Violation of local privacy, spam or any policies related to deception and fraud.
4. Advertising on websites containing or promoting illegal activities
5. Violation of SellerAmp intellectual property rights
6. Self referrals, fraudulent transactions, suspected Affiliate fraud
7. Promotion of WAMP coupons or advertising on deal sites
8. Pay Per Click bidding using SellerAmp product names or terms including SellerAmp, SellerAmp SAS, sourcing analysis simplified.
9. Affiliate “Cookie Stuffing” without a user’s explicit interest. That is dropping one or more Affiliate cookies onto a visitor's browser to misattribute traffic to Affiliate.

SellerAmp reserve the right to terminate any Affiliate account at any time, at the sole discretion of SellerAmp. Termination of account ceases all future commissions.

 4) ACCEPTABLE USE 

Affiliate agrees not to use the Program or SellerAmp for any unlawful purpose or any purpose prohibited under this clause. Affiliate agrees not to use the Program in any way that could damage SellerAmp websites, products, services or the general business of SellerAmp.

You further agree not to use the Program:

1. To harass, abuse or threaten others or otherwise violate any person’s legal rights
2. To violate any intellectual property rights of SellerAmp or any third party;
3. To upload or otherwise disseminate any computer virus or other software that may damage the property of another;
4. To perpetrate any fraud;
5. To engage in or create any unlawful gambling, sweepstakes, or pyramid scheme;
6. To unlawfully gather information about others.

 5) AFFILIATE OBLIGATIONS & COMPLIANCE 

Affiliate is required to comply with all applicable statutes, regulations and guidelines set by applicable federal and local governments, including all those that may impact your country of residence or your visitors, requiring affiliate relationships, such as the relationship between Affiliate and SellerAmp, to be disclosed to its consumers.

You are required to post a conspicuous notice on your website or materials regarding the Program disclosing that funds are received through clicks to the Program.

 6) AFFILIATE LINKS 

 Affiliates may use graphic and text links on their website and within email messages. Affiliates may advertise in online and classified ads, magazines and newspapers. Affiliates may create their own text that is deemed appropriate and not in violation of aforementioned Termination reasons.  

 7) COUPON AND DEAL SITES  

 SellerAmp do not offer public coupons. SellerAmp Affiliates should therefore not promote SellerAmp using coupon or deal websites. Any Affiliates found using coupon or deal websites will be immediately terminated from the SellerAmp Affiliate program. Any accrued funds will be forfeited.  

 8) PAY PER CLICK (PPC) POLICY 

PPC is allowed but you may not bid on SellerAmp products or terms directly reflective of SellerAmp and its products including WAMP, WAMP by SellerAmp, SellerAmp, SellerAmp SAS, sourcing analysis simplified and other terms deemed directly reflective.

Affiliates may not generate pop-ups, pop-unders, iframes, frames, or any other seen or unseen actions that set affiliate cookies unless the user has expressed a clear and explicit interest in activating a specific savings by clicking on a clearly marked link, button or image for that particular deal. Your link must send the visitor to the SellerAmp product site.

8) PAY PER CLICK (PPC) POLICY

 9) PRIVACY COMPLIANCE INCLUDING CAN-SPAM, GDPR, CASL 

 Full compliance with all local privacy and spam policies, including but not limited to CAN-SPAM, GDPR, CASL, and applicable local laws related to deception and fraud, is required. Non adherence are grounds for immediate termination from the Program. 

 10) LIABILITY 

SellerAmp will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).

We do not make any expressed or implied warranties with respect to the Program and/or the memberships or products sold by SellerAmp. We make no claim that the operation of the Program and/or our website(s) will be error-free and we will not be liable for any interruptions or errors.

 11) TERM OF THE AGREEMENT 

The term of this Agreement begins upon your acceptance in the Program and will end when your Affiliate account is terminated.

The terms and conditions of this agreement may be modified by SellerAmp at any time. Your continuing participation in the Program will constitute your acceptance of any change. If any modification to the terms and conditions of this Agreement are unacceptable to you, your only choice is to terminate your Affiliate account.

 12) INDEMNIFICATION 

Affiliate shall indemnify and hold harmless SellerAmp and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by SellerAmp to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement and this Program due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate. 

12) INDEMNIFICATION 

 Affiliate shall indemnify and hold harmless SellerAmp and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by SellerAmp to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement and this Program due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate. 

 13) GOVERNING LAW, JURISDICTION, AND ATTORNEY FEES  

Any dispute, claim, or controversy arising out of or relating to the Program, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by final and binding arbitration in Austin, Texas. The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Judgment on the award may be entered in any court having jurisdiction. All disputes with SellerAmp will be resolved individually without resort to class action. You agree to a waiver of Jury trial and Class Action Rights. 

 14) ELECTRONIC SIGNATURES EFFECTIVE 

The Agreement is an electronic contract that sets out the legally binding terms of your participation in the WAMP by SellerAmp affiliate program. You indicate your acceptance of this Agreement and all of the terms and conditions contained or referenced in this Agreement by completing the application process. This action creates an electronic signature that has the same legal force and effect as a handwritten signature.
